COURSE DESCRIPTIONS

Contract Drafting Principles and Techniques
Prof. Richard M. Perlmutter
3 credits day; 3 credits evening.

A "hands on" skills workshop on the techniques of drafting of commercial and other transactional document in specific legal and business settings. The course will present an overview of the issues and processes involved in contract drafting, including analysis of the basic structure of written agreements. Students will be required to implement substantive understandings of "clients" consistent with contract law principals by drafting and reviewing individual clauses and entire agreements. The practical function and interaction of various elements of written agreements, including recitals, representations, warranties covenants, indemnification, default clauses, remedies and the like will be demonstrated through specific drafting exercises. Sample contracts and exemplary clauses will be used to illustrate successful and faulty drafting and their respective consequences. Some judicial opinions in which drafting issues were dispositive will be studied. In lieu of a final examination students will be required to critically review contract clauses and to draft several contracts.
